1. Services and Scope
Zohanest provides a suite of 8 core services: AI Automation, AI Software Development, AI Web and Mobile Development, Automated AWS Services, Digital Marketing, Agile Project Management, and Technical Resource Augmentation. The specific scope of work for any project will be defined in a separate Service Level Agreement (SLA) or Statement of Work (SOW).
2. Intellectual Property
- Client Ownership: Upon full payment, all custom software, code, and digital assets developed specifically for the client shall become the sole property of the client.
- Zohanest Property: We retain ownership of any pre-existing proprietary tools, neural network frameworks, or underlying AI models used to deliver our services.
3. Client Responsibilities
To ensure the success of AI and Agile projects, clients must:
- Provide timely access to necessary data and technical environments.
- Designate a point of contact for sprint approvals and feedback.
- Ensure that all data provided for AI training or processing is legally obtained and compliant with privacy laws.
4. Payment Terms
Fees for services are billed according to the project milestones or resource augmentation schedules agreed upon at the start of the engagement. All invoices are due within the timeframe specified on the invoice. Late payments may result in a temporary suspension of automated services or development work.
5. Confidentiality
Both parties agree to protect and keep confidential all non-public information, including business logic, trade secrets, and technical data. This obligation extends beyond the termination of the service agreement.
6. Limitation of Liability
While Zohanest utilizes cutting-edge AI and automated AWS infrastructure to ensure high performance, we are not liable for:
- External API outages or third-party platform changes.
- Algorithmic shifts in search engine rankings.
- Business losses resulting from data-driven predictions or automated decision-making.
7. Termination
Either party may terminate the agreement with written notice if the other party breaches these terms. Upon termination, the client is responsible for payment for all work completed up to the termination date.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Zohanest is officially registered.
